Terms of Service

1. These terms

These terms are an agreement between the business that signs up (“you”) and Placemat Technologies Inc., a British Columbia company (“Placemat”, “we”). By creating an account or using Placemat, you agree to them on behalf of your business. The person accepting must be able to bind the business.

2. What Placemat does

Placemat connects to your point of sale and builds weekly buying plans: suggested orders, budgets, price checks and related insights. Depending on your plan and settings, it can also prepare orders, send purchase orders you approve, and, with Placemat Agent, take the actions you allow within the limits you set.

3. You make the decisions

Placemat’s suggestions are based on your data and our models. They aren’t guarantees of sales, margins or results. You’re responsible for the orders you place, the prices you set, and following the rules that apply to your business, including your licence and your suppliers’ and regulators’ requirements. Check orders before you submit them to a supplier.

4. Your account and team

You choose who on your team can sign in, using their work emails, and you’re responsible for what happens in your account. Tell us right away at john@placematai.com if you think someone has signed in who shouldn’t have. You give Placemat permission to connect to your point of sale with the keys you provide, to read your data, and to write back only what you turn on.

5. Your data

You own your data. You give Placemat a licence to use it to provide and support the service for you. Placemat staff only view your account with your permission (support access). We may use combined, de-identified information to improve Placemat; we never share your identifiable data with other retailers. When you leave, we delete your data within 30 days of your request.

6. Fees and billing

• Placemat is billed monthly in Canadian dollars, by plan and the number of active stores. Current prices are on our website.
• Cards are charged through Stripe at the start of each month of service. Adding or removing a store changes your charge from that day, prorated.
• Prices don’t include applicable taxes.
• If a payment fails, we’ll let you know. If it isn’t fixed within 14 days, we may pause your account until it is.
• We’ll give account owners at least 30 days’ notice by email before a price change.

7. Cancelling

You can cancel any time from Settings → Billing, or by emailing us. Your plan runs to the end of the month you’ve paid for, and you’re not charged again. We don’t refund partial months. We may end or suspend an account that breaks these terms, with notice where we reasonably can.

8. Acceptable use

Don’t misuse Placemat: no attempts to access other retailers’ data, interfere with the service, copy or resell it, or use it to break the law.

9. Availability and changes

We work to keep Placemat running and your morning update on time, but we can’t promise it will always be available or error-free, including when your point of sale or a supplier’s site is unavailable. We improve Placemat continually and may change features; we won’t remove something central to your plan without telling you first.

10. Liability

To the extent the law allows: Placemat is provided “as is”. Neither of us is liable to the other for indirect or consequential losses, such as lost profits or lost sales. Our total liability for any claim is limited to the fees you paid Placemat in the 12 months before the claim.

11. General

These terms are governed by the laws of British Columbia and the federal laws of Canada that apply there, and the courts of British Columbia have jurisdiction. If we update these terms, we’ll email account owners at least 30 days before the changes take effect. If part of these terms can’t be enforced, the rest still applies.
